EasyContent Terms of Service
Last updated: October 1, 2026
Effective date: October 1, 2026 for accounts created on or after that date. For accounts created before that date, these Terms replace the EasyContent User Agreement when you accept them in the Service. From October 31, 2026, you will need to accept these Terms to continue using the Service.
These Terms of Service (the "Terms") are a binding agreement between EasyContent LLC, a Florida limited liability company ("EasyContent," "we," "us," or "our"), and the individual or organization that creates an account or uses the Service ("Customer," "you," or "your"). If you accept these Terms on behalf of an organization, you confirm that you are authorized to bind that organization, and "you" means that organization.
By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
"Service" means the EasyContent web application, the EasyAI features, the API, webhooks, plugins, and integrations we provide, and related documentation.
"Content" means any text, files, images, data, and other material that you or your Users submit to the Service, including prompts submitted to AI features.
"Output" means content generated for you by the Service's AI features.
"Users" means your employees, contractors, and other individuals you allow to access your account, including guest reviewers invited through review links.
"Plan" means the subscription plan you select, including its published limits and features.
"Order Form" means the checkout page, quote, invoice, or signed order through which you purchase a subscription.
"Privacy Policy" means our Privacy Policy published at easycontent.io/privacy-policy, and "GDPR Policy" means our GDPR policy published at easycontent.io/gdpr-policy.
"DPA" means our Data Processing Agreement published at easycontent.io/dpa, which applies where EasyContent processes personal data on your behalf as described in Section 7.
2. Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping login credentials confidential, and for all activity under your account. You are responsible for your Users' compliance with these Terms. Tell us promptly at support@easycontent.io if you suspect unauthorized access to your account.
3. License and restrictions
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right during your subscription term to access and use the Service for your internal business purposes, including producing content for your clients, within the limits of your Plan.
You will not, and will not allow anyone else to:
- copy, modify, or create derivative works of the Service;
- reverse engineer, decompile, or disassemble the Service, or attempt to extract its source code, except to the extent applicable law expressly permits;
- sell, resell, rent, sublicense, or otherwise provide access to the Service to a third party outside your account, except by inviting Users as the Service allows;
- access the Service with automated scripts, bots, or scraping tools, other than through our published API and integrations;
- send unsolicited or unauthorized messages through the Service;
- impersonate any person or entity or misrepresent your affiliation with anyone;
- upload malware, interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it or its related systems;
- probe or test the Service for vulnerabilities, except under our responsible disclosure process on our Security and backups page;
- use the Service to build a competing product, or to benchmark it for publication without our written consent;
- use the Service to store or transmit content that is unlawful, infringing, defamatory, or harmful, or in violation of anyone's rights; or
- use the Service in violation of applicable law, including export control and sanctions laws.
4. Ownership
Your Content. You own your Content. You grant EasyContent a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process your Content only as needed to provide, secure, and support the Service, to comply with law, and as otherwise permitted by these Terms. This license ends when your Content is deleted from the Service.
Output. As between you and EasyContent, you own the Output generated for you, and EasyContent assigns to you any rights it may have in that Output.
The Service. EasyContent and its licensors own all right, title, and interest in the Service, including its software, source and object code, design, and all related intellectual property. These Terms give you a right to use the Service; they do not transfer ownership of any part of it.
Feedback. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
Usage data. We may collect and use technical and usage data about how the Service is used to operate, secure, and improve it, provided that we do not disclose such data externally in a form that identifies you or your Users.
5. AI features
The Service includes AI features, EasyAI Writer and EasyAI Editor. When a User runs an AI feature, the relevant Content and instructions are processed by our AI provider to generate Output. We do not use your Content to train AI models.
AI Output can be inaccurate, incomplete, or similar to content generated for others. You are responsible for reviewing Output before you use or publish it, and for your use of it. The Service lets account owners enable or restrict AI features at the account, project, and User level.
6. Your responsibilities for Content
You are responsible for your Content and for having all rights and permissions needed to submit it to the Service. If your Content includes personal information about others, you are responsible for providing any required notice and obtaining any required consent, including parental consent for anyone under 13. You will not submit sensitive categories of personal data (such as health information, financial account numbers, government identification numbers, or data revealing racial or ethnic origin, religious beliefs, or sexual orientation) unless the Service is expressly configured for it under a separate written agreement with us.
Please report bugs, defects, or security issues you find in the Service to support@easycontent.io.
7. Privacy and data protection
Our Privacy Policy and GDPR Policy describe how we handle personal data about you and your Users as a controller. Where we process personal data contained in your Content on your behalf, we act as your processor, and the DPA applies and forms part of these Terms.
8. Third-party services
The Service works with third-party products such as WordPress, Figma, Zapier, Google Sheets, and browser extensions. When you enable an integration, you authorize us to exchange data with that product as needed for the integration to work. Your use of a third-party product is governed by that provider's terms, and we are not responsible for third-party products or for their handling of data you send to them.
9. Fees, billing, and renewal
Fees. You will pay the fees for your Plan as shown at checkout or on your Order Form. Fees are stated and payable in US dollars. Unless otherwise stated, fees exclude taxes, and you are responsible for all applicable taxes other than taxes on our income.
Automatic renewal. Subscriptions renew automatically for successive periods equal to the current billing period (monthly or annual) unless you cancel before the end of the current period. You authorize us and our payment processor to charge your payment method for each renewal.
Price changes. We may change our prices. A price change takes effect at your next renewal, and we will notify you by email at least 30 days before it applies to you.
Upgrades and downgrades. Upgrades take effect immediately and are billed as shown at checkout. Downgrades take effect at the end of the current billing period. You are responsible for bringing your usage within the limits of the lower Plan.
Late payment. If a payment fails, we may retry the charge. If payment is more than 14 days past due, we may suspend your access until it is paid. Suspension does not delete your Content.
AI credits. Each paid Plan includes a monthly allowance of AI credits, which refreshes each month. Credit packs purchased separately do not expire. AI credits have no cash value, are not transferable, and end when your account is deleted.
Nonprofit and education pricing. Discounts we offer to eligible nonprofit and educational organizations are subject to verification of eligibility.
10. Cancellation and refunds
You can cancel your subscription at any time from your account settings or by contacting support@easycontent.io.
- Monthly plans. Fees are non-refundable once billed, except where required by law. After you cancel, your access continues through the end of the current billing period.
- Annual plans. You are entitled to a full refund if you cancel within 30 days of your initial annual purchase or within 30 days of an annual renewal. After that 30-day window, annual fees are non-refundable, and cancellation takes effect at the end of the current annual term.
- Never refundable. Taxes, third-party fees, and usage-based charges, including AI credits and credit packs, are not refundable on any plan.
11. Free trials
Trials are free for 14 days unless we agree to extend them, and do not require a payment method. We may modify or end a trial at any time. Trial accounts are provided as-is, with no commitment of support or availability.
12. Term, suspension, and termination
Term. These Terms apply from the day you first accept them until your subscription ends and your account is closed.
Termination by you. You may cancel your subscription as described in Section 10.
Termination for breach. Either party may terminate these Terms if the other party materially breaches them and does not cure the breach within 30 days after written notice.
Termination by us for convenience. We may terminate your subscription for any reason with at least 30 days' written notice. If we do, we will refund the prepaid fees for the remainder of your subscription term after the termination date.
Suspension. We may suspend your access immediately, in whole or in part, if we reasonably believe that your use of the Service violates Section 3, poses a security risk to the Service or other customers, or exposes us to legal liability. We will notify you and restore access once the issue is resolved.
Effect of termination. When your subscription ends, your right to use the Service ends. You can export your Content until your subscription ends. We retain and then delete account data on the schedule in Section 13.
Survival. Sections 4, 6, 9 (for amounts owed), 10, 12 (Effect of termination), 13, and 14 through 19 survive termination.
13. Data retention and deletion
While your subscription is active, we keep your Content for as long as you keep it in the Service, subject to the following automatic limits: each content item keeps its 30 most recent versions, or its 5 most recent once it reaches the Completed workflow stage; project activity logs are deleted after 1 year; and copies of email notifications are deleted 7 days after sending.
After an unconverted trial ends, we keep the account for 1 year and then permanently delete it and all its data. After a paid subscription ends, we keep the account for 1 year after the last billing period so you can reactivate it, and then permanently delete it and all its data. Two months after a trial or subscription ends, we keep only the latest version of each content item.
You may delete your account at any time with the Delete account button in Account Settings, which permanently deletes the account and all of its data from the Service immediately. You may also ask us to delete it at support@easycontent.io, and we will complete deletion within 30 days of your request. Copies in our encrypted disaster-recovery backups are removed as those backups are overwritten in the ordinary course, billing records are kept as tax and accounting law requires, and logs and diagnostic data held by us and our service providers expire on our and their retention periods, including those set out in our GDPR Policy. Deletion is permanent and cannot be undone.
14. Confidentiality
Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Your Content is your Confidential Information. The receiving party will use the other party's Confidential Information only to perform under these Terms, protect it with at least reasonable care, and disclose it only to its employees, contractors, and service providers who need to know it and are bound by confidentiality obligations at least as protective as these. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was known to the receiving party without restriction before receiving it, is independently developed, or is received from a third party without a duty of confidentiality. The receiving party may disclose Confidential Information when required by law, after giving the disclosing party reasonable notice where legally permitted.
15. Warranties and disclaimers
Each party represents that it has the legal authority to enter into and perform these Terms.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASYCONTENT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. EASYCONTENT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ALL DEFECTS WILL BE CORRECTED, THAT OUTPUT WILL BE ACCURATE, OR THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO EASYCONTENT UNDER THESE TERMS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply to your obligation to pay fees, to your obligations under Section 17, or to a party's liability for fraud, gross negligence, or willful misconduct, or for its breach of Section 3.
17. Indemnification
You will defend, indemnify, and hold harmless EasyContent and its members, managers, employees, and contractors from and against any third-party claim, and related losses, damages, and costs (including reasonable attorneys' fees), arising from your Content, your use of the Service in breach of these Terms, or your violation of law or of any third party's rights. We will give you prompt notice of the claim, reasonable cooperation at your expense, and control of its defense and settlement, provided that you may not settle a claim in a way that imposes any obligation on us without our written consent.
18. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Each party submits to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida, for any dispute arising out of or related to these Terms, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information. Before filing a claim, each party will first try in good faith to resolve the dispute by contacting the other in writing and allowing 30 days for resolution.
19. General
Changes to these Terms. We may update these Terms from time to time. If a change is material, we will notify you by email or in the Service at least 30 days before it takes effect, and we will ask you to accept the updated Terms in the Service. If you do not agree to a material change, you may cancel before it takes effect, and if you are on an annual plan we will refund the prepaid fees for the remainder of your term. Non-material changes, such as clarifications, take effect when posted.
Changes to the Service. We continually improve the Service and may add, change, or remove features. We will not make a change that materially reduces the core functionality of your Plan during your current paid term.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without consent in connection with a merger, acquisition, or sale of all or substantially all of our business or assets, and will notify you of the assignment. These Terms bind and benefit the parties and their permitted successors and assigns.
Notices. We will send notices to the email address on your account, and they are deemed delivered when sent. Send notices to us at support@easycontent.io.
Force majeure. Neither party is liable for any delay or failure to perform, other than a payment obligation, caused by events beyond its reasonable control.
Independent parties. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.
No waiver; severability. A failure to enforce any provision is not a waiver. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest of these Terms will remain in effect.
Entire agreement. These Terms, together with the DPA, any Order Form, and the policies they reference, are the entire agreement between the parties about the Service and supersede all prior agreements on the same subject. If there is a conflict, a signed Order Form controls over these Terms, and the DPA controls over these Terms on matters of personal data processing. Terms in any purchase order or other document you provide do not apply.
